1. Acceptance of terms
By accessing or using the Salesable website (the "Site"), or by engaging Salesable for services, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, please do not use the Site or our services.
These Terms apply in addition to our Privacy & Cookie Policy, which governs how we handle your personal data.
2. Definitions
- "Salesable", "we", "us" or "our" refers to Neo Kinetic Services India Pvt. Ltd. (operating under the brand name Salesable), registered at 5th Floor, Business Park, Chincholi Naka, S.V. Road, Malad West, Mumbai – 400 064, India.
- "Client", "you" or "your" refers to the person or organisation using the Site or engaging our services.
- "Services" means the revenue growth, sales enablement, and related consulting or delivery services provided by Salesable under a separate service agreement or statement of work.
- "Content" means all text, graphics, logos, software, and other material made available on the Site.
3. Use of the website
You may use the Site for lawful purposes only. You agree not to:
- Use the Site in any way that breaches applicable local, national or international law
- Attempt to gain unauthorised access to the Site, servers, or any systems connected to it
- Introduce viruses, malware, or other harmful material via the Site
- Scrape, copy, or reproduce Site content for commercial purposes without our written consent
We reserve the right to restrict or terminate your access to the Site at our discretion, without notice, if we reasonably believe you have breached these Terms.
4. Services & engagements
Any Services provided by Salesable to a Client are governed by a separate signed service agreement, statement of work, or order form ("Engagement Document"), which takes precedence over these Terms in the event of any conflict specific to that engagement. These Terms apply to all general use of the Site regardless of whether a Services engagement exists.
Nothing on the Site constitutes a binding offer to provide Services; Services commence only upon execution of an Engagement Document.
5. Intellectual property
All Content on the Site, including but not limited to text, graphics, logos, and software, is the property of Salesable or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from any Content without our prior written consent.
Ownership of any deliverables, strategies, or materials produced as part of a Services engagement is set out in the applicable Engagement Document.
6. Confidentiality
In the course of a Services engagement, both parties may share confidential or proprietary information. Each party agrees to use such information solely for the purpose of the engagement and not to disclose it to third parties without the other party's prior written consent, except as required by law. Confidentiality obligations survive termination of any engagement.
7. Client obligations
Where you engage Salesable for Services, you agree to:
- Provide accurate, complete, and timely information reasonably required for us to perform the Services
- Ensure you have the necessary rights and permissions for any data, systems, or materials you provide us access to
- Make payments in accordance with the applicable Engagement Document
8. Warranties & disclaimers
The Site and its Content are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Site will be uninterrupted, secure, or error-free.
Nothing in these Terms excludes or limits any warranty implied by law that may not lawfully be excluded.
9. Indemnification
You agree to indemnify and hold Salesable harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Site, or violation of any third-party rights.
10. Termination
We may suspend or terminate your access to the Site at any time, with or without cause or notice. Termination of a Services engagement is governed by the terms set out in the applicable Engagement Document. Provisions of these Terms which by their nature should survive termination — including intellectual property and confidentiality — shall survive.
11. Third-party links
The Site may contain links to third-party websites that are not owned or controlled by Salesable. We are not responsible for the content, privacy policies, or practices of any third-party websites. Accessing linked sites is at your own risk.
12. Governing law
These Terms and your use of the Salesable website are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of the Salesable website shall be subject to the jurisdiction of the courts located in Mumbai, Maharashtra, India, unless otherwise required by applicable law.
Nothing in these Terms shall exclude, restrict, or limit any rights, protections, or remedies that cannot lawfully be excluded, restricted, or limited under the mandatory laws applicable to you in your jurisdiction. Salesable is a brand operated by Neo Kinetic Services India Pvt. Ltd. and/or Neo Kinetic Inc. The entity responsible for providing any particular product or service, and the applicable terms governing that commercial relationship, shall be identified in the relevant order form, subscription agreement, invoice, or other applicable commercial documentation. Where you enter into a separate agreement for products or services, the governing law and dispute-resolution provisions of that agreement shall apply to that commercial relationship.
13. Changes to these terms
We may update these Terms from time to time. Material changes will be communicated by updating the "Last updated" date at the top of this page, or by other reasonable means. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
